BIZBAT TERMS AND CONDITIONS OF USE

1. PURPOSE, LEGAL NATURE OF THE SERVICE AND SCOPE OF LIABILITY
BizBat is a digital technology platform whose purpose is to provide a virtual environment that allows users to create professional profiles, publish content, interact with each other, participate in processes referred to as “Calls” (Convocatorias), and access digital tools designed to facilitate visibility and connection within the music industry.
The user expressly acknowledges that BizBat acts solely and exclusively as a provider of technological infrastructure and passive digital intermediation services, whose scope is limited to enabling functionalities that allow interaction between users, without BizBat in any way intervening in, participating in, controlling, directing, or having any involvement in the creation, negotiation, formalization, execution, or fulfillment of legal relationships between users.
Accordingly, BizBat does not act, nor shall it be construed under any circumstance as acting, as an employer, contractor, subcontractor, labor intermediary, recruitment agency, artistic representative, agent, mandatary, partner, associate, joint venture, trustee, or any other legal figure implying representation, active intermediation, control, or responsibility over users’ activities.
The user acknowledges that any interaction, negotiation, agreement, or relationship that arises within or outside the platform is strictly independent among the involved users, who act at their own risk and are solely responsible for their decisions, conduct, obligations, and legal consequences.
BizBat does not validate, supervise, or guarantee the identity, capacity, solvency, reputation, intent, compliance, or behavior of users, nor the accuracy, legality, or feasibility of the activities carried out within the platform.
Furthermore, the user acknowledges that BizBat does not provide professional, legal, financial, commercial, or any other form of advice, nor does it issue binding recommendations, and therefore any decision made by the user in connection with their participation on the platform is made under their sole discretion and responsibility.
In this regard, the user agrees that the service provided by BizBat is limited to access and use of a technological tool on an “as available” basis, without any obligation on BizBat’s part to guarantee results, benefits, opportunities, income, engagements, or any outcome derived from the use of the platform.
The user expressly acknowledges that no relationship of subordination, economic dependence, exclusivity, or employment exists between BizBat and the users, nor among the users themselves by virtue of using the platform, and any such relationship must arise from independent agreements outside the scope of BizBat’s responsibility.
Likewise, the user agrees that the use of the platform does not create, nor shall it be interpreted as creating, any relationship of representation, agency, partnership, association, or mandate between BizBat and the users, nor among the users themselves.
The user declares that they use the platform at their own risk and that they have not entered into this agreement based on specific expectations of results, acknowledging that any potential benefit derived from the use of BizBat depends exclusively on factors beyond the platform’s control.
Accordingly, the user expressly releases BizBat from any liability arising directly or indirectly from the use of the platform, including those related to user interactions, professional decisions, commercial agreements, economic losses, reputational damages, or any other consequence derived from participation in the BizBat digital ecosystem.
2. REGISTRATION, DIGITAL IDENTITY, SECURITY AND ACCOUNT RESPONSIBILITY
To access and use the platform’s functionalities, the user must register and create an account by providing truthful, complete, up-to-date, and verifiable information. The user acknowledges that such information constitutes their digital identity within BizBat and may be used by other users as a reference for professional, commercial, or other decision-making.
The user assumes full responsibility for the accuracy, completeness, and updating of the information provided, as well as for any consequences arising from false, incomplete, or outdated information, releasing BizBat from any liability related to decisions made by third parties based on such information.
The user account is personal, non-transferable, and for the exclusive use of its holder. The user agrees to maintain strict confidentiality of their login credentials, including usernames, passwords, verification codes, and any authentication mechanisms, and shall be solely responsible for any activity conducted through their account, whether authorized or not.
All activity carried out from a registered account shall be presumed to have been performed by its legitimate holder. The user agrees that BizBat has no obligation to investigate, validate, or reverse actions derived from account use, nor shall it be liable for unauthorized access, misuse, data loss, identity theft, or any security incident resulting from the user’s negligence.
BizBat may, at any time and at its sole discretion, implement identity verification mechanisms, enhanced authentication, document validation, or any procedure deemed necessary to ensure platform integrity, and may request additional information. Failure to comply may result in account restriction, suspension, or termination without compensation.
BizBat reserves the right to restrict, block, freeze, suspend, or terminate accounts at any time, without prior notice or justification, when it detects risks, inconsistencies, fraud, misuse, or any situation deemed relevant.
In such cases, BizBat may retain, block, or delete account data, including content and history, as necessary.
BizBat is not obligated to restore accounts or retain information indefinitely.
3. TYPES OF ACCOUNTS, SCOPE OF SERVICES AND LIMITATION OF EXPECTATIONS
BizBat may offer users different types of accounts, including a free modality known as the Essential Account and one or more paid modalities known as Premium Accounts, whose subscription shall be governed by the commercial conditions in effect at the time of purchase.
The Essential Account allows access to basic platform functionalities, including the creation of a professional profile, limited content publication, interaction with other users, and participation in open Calls. The Premium Account grants access to additional functionalities, which may include, among others, increased publishing capacity, access to advanced tools, participation in Premium Calls, prioritization within certain internal visibility mechanisms, and access to differentiated features as determined by BizBat from time to time.
The user acknowledges that the functionalities associated with each type of account may be modified, expanded, restricted, or eliminated at any time by BizBat, without prior notice, provided that such modifications do not retroactively affect already paid subscription periods. Accordingly, BizBat does not guarantee the continuity of any specific functionality, technical feature, competitive advantage, or benefit associated with any particular type of account.
The user expressly agrees that the purchase of a Premium Account does not constitute, nor shall it be interpreted as, a promise, guarantee, or expectation of economic, professional, or commercial results, including, without limitation, the generation of income, hiring opportunities, collaborations, increased effective visibility, sustained preferential positioning, selection in Calls, or the creation of specific opportunities within or outside the platform.
In this regard, the user acknowledges that the Premium Account represents solely access to a set of technological tools and differentiated functionalities, the effectiveness of which will depend at all times on factors beyond BizBat’s control, including, without limitation, the quality of the user’s content, their interaction with third parties, market conditions, the behavior of other users, and the platform’s internal algorithmic systems.
BizBat may implement automated mechanisms that influence the visibility, positioning, or exposure of profiles and content, which may consider dynamic variables and technical criteria defined unilaterally by the platform. The user acknowledges that purchasing a Premium Account does not guarantee a fixed, preferential, or permanent position within such systems, nor does it prevent other users from obtaining greater visibility under different conditions.
Furthermore, the user agrees that BizBat assumes no obligation to generate traffic, engagement, leads, contacts, business opportunities, or any form of return on investment derived from the purchase of Premium functionalities, and therefore expressly waives any claim based on performance expectations, economic benefits, or results arising from the use of the platform.
The subscription to any type of account shall be understood as made under the principle of “use as available and without guarantee of results,” acknowledging that the value of the service lies exclusively in access to the technological infrastructure provided by BizBat, and not in any outcomes that may result from its use.
4. PROHIBITED PRACTICES, MISUSE AND BIZBAT’S ENFORCEMENT AUTHORITY
The user agrees to use the platform in accordance with applicable law, these Terms and Conditions, and principles of good faith, legitimate use, and respect toward other users and the integrity of the BizBat digital ecosystem.
Any use of the platform that directly or indirectly aims to alter its functioning, compromise its security, interfere with its normal operation, harm other users, or improperly exploit its functionalities is strictly prohibited. In this regard, prohibited practices shall include, without limitation, identity impersonation, creation of false or misleading profiles, publication of inaccurate, fraudulent, or deceptive information, use of content without proper rights, and simulation of professional, artistic, or commercial identity.
Furthermore, any attempt to manipulate the platform’s internal systems is prohibited, including, without limitation, visibility, ranking, recommendation, voting, or Call selection mechanisms, whether through coordinated manual actions or through the use of automated tools, bots, scripts, or any technology designed to artificially alter system behavior.
The user shall not use the platform to perform mass data extraction, scraping, data mining, reverse engineering, decompilation, or any activity intended to gain unauthorized access to BizBat’s technological infrastructure, databases, algorithms, or internal systems.
The use of the platform for unlawful, fraudulent, abusive, discriminatory, offensive, or rights-violating purposes is strictly prohibited, including, without limitation, harassment, intimidation, extortion, exploitation, misuse of personal data, or any activity contrary to applicable law.
BizBat shall have the absolute, unilateral, and discretionary authority to determine what constitutes a breach of these Terms, as well as to assess the severity of such conduct and the appropriate measures to be applied. In this regard, the user agrees that BizBat may act without prior notice, without justification, without granting any right of prior hearing, and without any obligation to provide evidence or explanation regarding its decisions.
In the event of detection or reasonable suspicion of prohibited practices, BizBat may, at any time and at its sole discretion, limit functionalities, temporarily suspend access, permanently terminate the account, remove content, block interactions, restrict access to certain areas of the platform, or adopt any other measure deemed necessary to protect the integrity of the service, other users, or third parties.
The user acknowledges that such measures may be applied even in cases of reasonable suspicion, without the need for a proven violation, and agrees that BizBat shall not be liable for damages, losses, service interruptions, content removal, data loss, reputational harm, or any consequences resulting from the application of such measures.
Furthermore, the user expressly waives any claim, action, or right against BizBat arising from enforcement actions, restrictions, or account terminations related to actual or alleged violations of these Terms.
BizBat may also retain records, digital evidence, and any information related to improper conduct and may share such information with competent authorities when necessary to comply with legal obligations or protect rights.
Finally, the user acknowledges that access to the platform constitutes a privilege subject to compliance with these Terms and not an acquired right, and that BizBat may revoke or limit such access at any time in accordance with its technical, operational, commercial, or legal criteria, without any obligation of compensation or liability.
5. CALLS (CONVOCATORIAS) AND PREMIUM CALLS
Calls are digital mechanisms within the platform through which users may publish, promote, and manage requests for participation in projects, collaborations, services, events, or opportunities related to the music industry.
The user acknowledges that general Calls are created directly by users without substantial intervention from BizBat, and therefore the platform does not validate, supervise, guarantee, or endorse the accuracy, authenticity, feasibility, legality, or intent of such postings, nor of the individuals who create or participate in them.
Additionally, BizBat may offer a Premium Calls scheme, which corresponds to processes in which the organizer has expressly requested BizBat to administer, manage, promote, or provide operational support for the Call on their behalf. In such cases, BizBat may carry out reasonable review processes aimed at verifying the identity of the organizer and the initial existence of the opportunity, with the purpose of ensuring that the information is accurate at the time of publication.
Notwithstanding the foregoing, the user expressly acknowledges and agrees that such validation or intervention by BizBat does not constitute an absolute guarantee nor imply any responsibility with respect to the execution, continuity, performance, or outcome of the Call. Accordingly, even in Premium Calls, there may be modifications, cancellations, suspensions, delays, alterations of originally published conditions, or total or partial non-compliance, whether due to causes attributable to the organizer, third parties, or events of force majeure, including, without limitation, operational, budgetary, logistical, regulatory, or any other circumstances.
Furthermore, the user acknowledges that the organizer may, at their sole responsibility, modify the terms, requirements, benefits, economic conditions, timelines, selection criteria, or any other element of the Call, or even fail to comply with the originally established conditions, without generating any direct, indirect, joint, or several liability for BizBat.
The user agrees that BizBat acts at all times as a technological intermediary in the dissemination and, where applicable, operational management of Calls, without assuming the role of a party in the legal relationships arising therefrom, nor guaranteeing results, selection, economic benefits, project execution, contractual performance, or any expectation associated with participation in such Calls.
In this regard, the user acknowledges that participation in any Call, including Premium Calls, is undertaken at their own risk, releasing BizBat from any claim, damage, loss, unmet expectation, or dispute arising from the existence, development, modification, cancellation, or non-compliance of such Calls.
6. VOTING, RANKING, ALGORITHMIC SYSTEMS AND ABSENCE OF GUARANTEE OF FAIRNESS
BizBat may implement within the platform various mechanisms for participation, evaluation, classification, or interaction, including, without limitation, voting systems, rankings, scoring, selection processes, recommendation engines, content prioritization, and any other dynamics that enable user interaction or the determination of outcomes within Calls or other platform functionalities.
The user acknowledges and agrees that such systems may operate wholly or partially through the participation of other users, as well as through automated processes, algorithms, recommendation models, or any other technological tools developed or implemented by BizBat, whose operating criteria are unilaterally defined by the platform and constitute confidential information and proprietary assets of BizBat.
Accordingly, the user agrees that BizBat has no obligation to disclose, explain, or make transparent the criteria, variables, weightings, methodologies, or logic used in such systems, nor to guarantee that the results derived therefrom respond to objective, verifiable, equitable, or consistent parameters.
The user expressly acknowledges that the results generated through voting, ranking, or algorithmic systems may be influenced by multiple factors, including user participation, behavioral patterns, technical variables, dynamic system configurations, operational errors, inherent biases in automated models, or any other circumstances inherent to digital environments, and therefore such results shall not be interpreted as an objective assessment of merit, quality, talent, or performance.
BizBat does not guarantee the fairness, accuracy, consistency, stability, or integrity of the results generated by such systems and shall not be liable for any manipulation, coordination among users, misuse of tools, fraud, technical errors, system failures, or any distortion affecting such results.
BizBat reserves the right, at any time and at its sole discretion, to modify, adjust, recalibrate, suspend, nullify, or eliminate, in whole or in part, any voting, ranking, or recommendation system, as well as to modify or invalidate results previously generated, without prior notice and without incurring any liability.
Furthermore, BizBat shall have the absolute, unilateral, and discretionary authority to review, audit, investigate, limit, suspend, or remove, at any time and without prior notice, any account, profile, participation, vote, result, or interaction that it deems false, inauthentic, simulated, manipulated, or contrary to the integrity of the platform, including those arising from coordinated conduct, use of fictitious identities, improper automation, or any practice that distorts normal system operation.
The user expressly acknowledges that BizBat is not required to justify, document, or explain any decision made under these powers, nor to provide evidence regarding the criteria used for detecting such conduct.
Accordingly, the removal of accounts, votes, results, or any element related to participation systems shall not give rise to any claim, compensation, indemnification, or restitution in favor of the user, who expressly and irrevocably waives any right to challenge or bring any action against BizBat in connection with such measures, even where such decisions are based on internal assessments, technical criteria, or reasonable suspicions not formally proven.
The user acknowledges that participation in these systems is entirely voluntary and undertaken at their own risk, and that the results obtained do not constitute an acquired right nor create any legitimate expectation of selection, engagement, recognition, or benefit of any kind within or outside the platform.
7. CANCELLATIONS, BREACHES, NO-SHOW, FORCE MAJEURE AND ASSUMPTION OF RISK
The user acknowledges and agrees that BizBat does not participate in the material execution of projects, events, collaborations, or any activities arising from user interactions within the platform, including those originating from Calls, and therefore assumes no responsibility whatsoever for the performance, development, or outcome of such activities.
Accordingly, BizBat shall not be liable, under any circumstances, for the total or partial cancellation of projects, events, or collaborations, for modifications to previously agreed conditions, or for any breach of obligations by any user, including, without limitation, unjustified absence (“no show”), delays, project abandonment, failure to deliver services, non-payment, or any other conduct affecting user relationships.
The user acknowledges that all relationships, agreements, and commitments arising from the use of the platform are entered into directly between users, who assume exclusively all risks associated with their execution, including economic, operational, logistical, contractual, and reputational risks.
BizBat shall not be liable for any damage, loss, expense, or harm resulting from cancellations or breaches, including, without limitation, travel expenses, production costs, equipment rentals, third-party services, lost opportunities, reputational damage, loss of profits, or any other direct or indirect damages.
Likewise, BizBat shall not be liable for the inability to execute projects, events, or collaborations due to force majeure or events beyond reasonable control, including, without limitation, natural disasters, pandemics, acts of government, infrastructure failures, technological disruptions, social conflicts, regulatory restrictions, or any other external circumstance.
The user expressly agrees that any claim related to cancellations, breaches, absences, or force majeure events shall be directed exclusively against the users involved, fully releasing BizBat from any direct, indirect, joint, or several liability.
8. USER CONTENT, INTELLECTUAL PROPERTY, LICENSE AND INDEMNIFICATION
The user acknowledges and agrees that they are solely and exclusively responsible for any content they publish, upload, share, or distribute within the platform, including, without limitation, musical works, sound recordings, compositions, performances, lyrics, arrangements, samples, images, videos, texts, trademarks, stage names, and any other material protected by intellectual property rights or third-party rights.
The user represents and warrants that they possess all necessary rights, licenses, authorizations, and permissions to use, reproduce, communicate, distribute, and make available such content within the platform, including rights relating to musical compositions, master recordings, neighboring rights, image rights, synchronization rights, and any other applicable rights under relevant law.
The user acknowledges that BizBat does not perform prior verification of uploaded content, nor does it supervise ownership rights, and therefore assumes no liability for intellectual property infringements, plagiarism, unauthorized use of content, disputes among co-authors, royalty conflicts, or any controversy arising from user-generated content.
By publishing content on the platform, the user grants BizBat a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use such content for purposes related to the operation, improvement, promotion, distribution, and functioning of the platform, including reproduction, public communication, distribution, technical adaptation, and display within the BizBat ecosystem.
The user acknowledges that, due to the nature of the platform, their content may be accessed, viewed, shared, or used by other users, over which BizBat has no control, and therefore expressly releases BizBat from any liability arising from misuse of such content by third parties.
The user agrees to indemnify, defend, and hold harmless BizBat, its affiliates, partners, officers, employees, representatives, and licensees from and against any claim, demand, administrative or judicial proceeding, damage, loss, liability, sanction, fine, or expense, including reasonable legal fees, arising directly or indirectly from:
(i) the publication or use of content that infringes third-party rights,
(ii) any breach of the representations and warranties set forth herein,
(iii) disputes related to copyrights, royalties, credits, licensing, or ownership of content, or
(iv) any misuse of the platform by the user.
This indemnification obligation shall survive termination of the relationship between the user and BizBat.
The user acknowledges that BizBat acts solely as a technological intermediary in the hosting and display of content and assumes no editorial, curatorial, or supervisory responsibility over user-generated content.
9. ECONOMIC TERMS, SUBSCRIPTIONS, PAYMENTS AND BILLING
Access to certain platform functionalities, including those associated with Premium Accounts, is subject to payment under a subscription-based model. Such subscriptions may be offered under periodic modalities, including, without limitation, monthly or annual billing cycles, in accordance with the commercial terms in effect at the time of purchase.
The user acknowledges and agrees that, upon subscribing, they acquire the right to access Premium functionalities for the specific period that has been effectively paid, regardless of the level of actual use made of the platform during such period. Accordingly, cancellation of a subscription by the user shall not result in the immediate termination of Premium features, which shall remain active until the end of the already paid subscription period.
The user may cancel their subscription at any time; however, such cancellation shall only take effect for future billing periods and shall not affect the validity of access during the already paid period, nor shall it give rise to any right to refund, reimbursement, or compensation of any kind.
BizBat expressly establishes that no refunds shall be issued under any circumstances, including, without limitation, lack of use of the platform, user dissatisfaction, failure to achieve expected results, or any subjective cause, except in cases where the user demonstrates, to BizBat’s reasonable satisfaction, the existence of a duplicate charge corresponding to the same subscription period. In such cases, BizBat may, at its sole discretion and upon validation, process the corresponding refund or apply a credit.
The user acknowledges that payments made through the platform may be processed by third-party payment service providers, including, without limitation, Stripe, Apple Pay, and Google Pay, as well as any other providers designated by BizBat.
Accordingly, the user agrees that transactions shall also be subject to the terms and conditions, privacy policies, operational rules, and provisions of such third-party providers, over which BizBat has no control. Therefore, BizBat shall not be liable for payment processing failures, transaction rejections, service interruptions, unauthorized charges attributable to such third parties, or any other incident arising from their operation.
The user further acknowledges that they are solely responsible for complying with any applicable tax obligations arising from the use of the platform, including the declaration of income, payment of taxes, and compliance with any applicable fiscal regulations in their jurisdiction. BizBat may, where required by applicable law, perform tax withholdings, reporting, or any other action necessary to comply with regulatory obligations, without incurring additional liability toward the user.
BizBat reserves the right to modify pricing, subscription structures, plan features, and applicable economic conditions at any time, which shall become effective upon publication or notification, without retroactively affecting already paid subscription periods.
10. DISCLAIMER OF WARRANTIES, NO RELIANCE AND EXCLUSION OF EXPECTATIONS
The user expressly acknowledges and agrees that BizBat provides access to a technological platform on an “as is” and “as available” basis, and that the use of the platform is undertaken entirely at the user’s own risk.
BizBat makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, regarding the operation of the platform or the results that may be obtained from its use, including, without limitation, any warranties of merchantability, fitness for a particular purpose, non-infringement, availability, reliability, accuracy, or performance.
BizBat does not guarantee, under any circumstances, the achievement of specific outcomes derived from the use of the platform, including, without limitation, the generation of income, professional opportunities, hiring, collaborations, audience growth, effective visibility, sustained positioning, artistic recognition, or any other economic or professional benefit.
The user acknowledges that they have not relied on any statement, representation, marketing communication, or expectation of performance in entering into this agreement, and that any result that may arise from the use of the platform depends exclusively on factors beyond BizBat’s control, including, without limitation, user-generated content, third-party interactions, market conditions, and algorithmic systems.
Furthermore, BizBat does not guarantee uninterrupted or error-free operation of the platform, nor the absence of technical failures, service interruptions, data loss, security breaches, or system vulnerabilities.
To the fullest extent permitted by applicable law, the user expressly waives any claim based on expectations of performance, results, economic return, or any alleged reliance on the platform.
11. LIMITATION OF LIABILITY AND EXCLUSION OF DAMAGES
To the maximum extent permitted by applicable law, BizBat, its affiliates, partners, officers, directors, employees, representatives, and licensors shall not be liable under any circumstances for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of, or inability to use, the platform.
This limitation includes, without limitation, damages for loss of profits, loss of revenue, loss of business opportunities, loss of data, business interruption, reputational harm, loss of contracts, loss of clients, or any other economic or non-economic damages, even if BizBat has been advised of the possibility of such damages.
BizBat shall not be liable for any acts or omissions of other users, including breaches, fraud, cancellations, misconduct, or any disputes arising from interactions between users.
BizBat shall not be liable for any failures, errors, or interruptions in services provided by third parties, including payment processors, hosting providers, infrastructure services, or any external systems.
In the event that BizBat is found liable under applicable law, its total cumulative liability shall, in all cases, be strictly limited to the amount actually paid by the user to BizBat during the twelve (12) months immediately preceding the event giving rise to the claim.
The user acknowledges and agrees that this limitation of liability is reasonable, proportionate, and constitutes an essential basis of the agreement between the parties, without which BizBat would not be able to provide the platform under the same conditions.
12. INDEMNIFICATION, DEFENSE AND HOLD HARMLESS
The user agrees to indemnify, defend, and hold harmless BizBat, its affiliates, partners, officers, directors, employees, representatives, contractors, and licensors from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or in connection with:
(i) the user’s access to or use of the platform;
(ii) any breach or alleged breach of these Terms and Conditions;
(iii) any violation of applicable laws, regulations, or third-party rights;
(iv) any content published, uploaded, or shared by the user;
(v) any dispute, agreement, or interaction between the user and any third party arising from the use of the platform; or
(vi) any fraudulent, negligent, or wrongful conduct by the user.
The user agrees to fully cooperate in the defense of any such claim and acknowledges that BizBat shall have the right, but not the obligation, to assume exclusive control of the defense and settlement of any matter subject to indemnification, at the user’s expense.
The user shall not settle any claim that imposes any obligation or liability on BizBat without BizBat’s prior written consent.
This indemnification obligation shall survive the termination or expiration of these Terms and the user’s relationship with BizBat.
Furthermore, the user expressly releases BizBat from any liability arising out of disputes, conflicts, or claims between users or between the user and any third party.
13. MODERATION, SUSPENSION, TERMINATION AND SERVICE CONTROL
BizBat reserves the right, at any time and at its sole discretion, to monitor, review, limit, restrict, suspend, or terminate, in whole or in part, the user’s access to the platform, as well as to remove content, functionalities, or accounts, without prior notice, without obligation to provide justification, and without incurring any liability.
Such actions may be taken in cases of actual or suspected violations of these Terms, for security reasons, system integrity, protection of other users, compliance with legal or regulatory obligations, or any other reason deemed relevant by BizBat under its technical, operational, commercial, or legal criteria.
The user acknowledges and agrees that BizBat may take such actions based on reasonable suspicion, internal assessments, automated systems, or discretionary decisions, without the need for a proven violation or the obligation to provide evidence or explanation.
In the event of suspension or termination, BizBat may delete, retain, or block access to any associated data, including content, activity history, communications, and account information, as deemed necessary for operational, legal, regulatory, or security purposes.
The user acknowledges that account suspension or termination shall not entitle the user to any compensation, indemnification, reimbursement, or restoration of data, content, visibility, or reputation.
Furthermore, the user acknowledges that access to the platform is a revocable privilege and not a vested right, and that BizBat may modify, suspend, or discontinue the platform or any of its functionalities at any time without liability.
14. DATA PROTECTION AND USE OF INFORMATION
The user acknowledges and agrees that BizBat collects, processes, stores, uses, and, where applicable, shares personal data in accordance with its Privacy Policy, which forms an integral part of these Terms.
The user acknowledges that by using the platform, they voluntarily provide personal, professional, and content-related information, and that such information may be accessible to other users in accordance with the user’s profile settings and the nature of the platform.
BizBat may use such information for operational, technical, commercial, analytical, security, service improvement, product development, and legal compliance purposes.
The user acknowledges that BizBat may use automated technologies, including algorithms and behavioral analytics systems, to process information, generate recommendations, determine content visibility, detect improper conduct, and optimize the user experience.
The user further agrees that their information may be shared with third-party service providers, including hosting providers, infrastructure providers, analytics services, and payment processors, as well as with competent authorities when required by law.
The user acknowledges that BizBat shall not be responsible for misuse of information by other users, nor for any disclosure of information that the user voluntarily chooses to share.
The user further acknowledges that, due to the global nature of the platform, their data may be transferred to and stored in servers located in different jurisdictions, including the United States, and accepts the legal implications of such transfers.
15. GOVERNING LAW, JURISDICTION AND WAIVER OF CLASS ACTIONS
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
The user expressly, irrevocably, and unconditionally agrees to submit to the exclusive jurisdiction of the competent courts located in the State of Delaware and waives any objection to venue or jurisdiction based on domicile, residence, or any other grounds.
The user acknowledges that the choice of jurisdiction constitutes a fundamental condition of this agreement.
To the fullest extent permitted by applicable law, the user expressly waives any right to participate in class actions, collective claims, representative proceedings, or any similar legal action against BizBat.
16. MODIFICATIONS, ENTIRE AGREEMENT AND GENERAL PROVISIONS
BizBat reserves the right to modify, update, or replace these Terms and Conditions at any time, at its sole discretion, without the need for individualized notice to the user.
Any such modifications shall become effective upon publication on the platform, and continued use of the platform shall constitute full acceptance of the updated Terms.
The user acknowledges that it is their responsibility to periodically review the applicable Terms, and that failure to do so shall not exempt them from compliance.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent authority, such provision shall be interpreted in a manner consistent with its original intent to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
These Terms constitute the entire agreement between the user and BizBat with respect to the use of the platform and supersede any prior agreements, communications, or understandings, whether written or oral.
The failure of BizBat to enforce any provision shall not be deemed a waiver of its rights.
The user may not assign, transfer, or delegate any rights or obligations under these Terms without prior written consent from BizBat, while BizBat may freely assign its rights and obligations to any affiliate or third party
(ii) any breach of the representations and warranties set forth herein,
(iii) disputes related to copyrights, royalties, credits, licensing, or ownership of content, or
(iv) any misuse of the platform by the user.
(ii) any breach or alleged breach of these Terms and Conditions;
(iii) any violation of applicable laws, regulations, or third-party rights;
(iv) any content published, uploaded, or shared by the user;
(v) any dispute, agreement, or interaction between the user and any third party arising from the use of the platform; or
(vi) any fraudulent, negligent, or wrongful conduct by the user.
